These Terms of Service (the "Terms") govern your access to and use of the Vibe Village mobile application and website (collectively, the "Service") operated by Vibe Village Entertainment, Inc. ("Vibe Village," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
Eligibility and Accounts
You must be at least 18 years old to create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately of any unauthorized use or security breach.
Changes to the Terms
We may modify these Terms from time to time. If we make material changes, we will provide notice (e.g., in-app banner, email, or by updating the "Last updated" date). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
User Content and Licenses
The Service may allow you to post, upload, submit, store, or share content, including text, images, audio, video, and other materials ("User Content"). You are solely responsible for your User Content and the consequences of posting or sharing it.
By submitting User Content, you represent and warrant that you own or have all necessary rights to your User Content and that your submission does not violate any law or third-party rights.
License to Vibe Village. You grant Vibe Village a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content in connection with operating, improving, promoting, and providing the Service.
License to Other Users. To the extent enabled by the Service, you also grant other users a non-exclusive license to access and use your User Content within the Service as permitted by these Terms and the Service's functionality.
Comments and Social Features
In‑Battle Comments (Family Circle)
In-battle comments are visible only to members of your Family Circle participating in or viewing a battle and are intended for private group interactions.
Public Battle Feed Comments
The Service also provides a public battle feed where comments may be visible to a broader audience across the app. Comments may be stored indefinitely and cannot be edited or deleted by users after posting. If you delete your account, we will disassociate your name/username from your historical comments, but the text of your comments may remain visible.
Moderation
We may, but are not obligated to, monitor, review, or moderate User Content (using automated tools and/or human review). We may remove or disable access to any User Content at our sole discretion for any reason, including to enforce these Terms or comply with law.
Prohibited Conduct
- Violating any law or infringing any third-party rights (including IP, privacy, and publicity rights).
- Posting unlawful, defamatory, harassing, hateful, discriminatory, pornographic, or otherwise objectionable content.
- Impersonating any person or misrepresenting your affiliation.
- Attempting to probe, scan, or test the vulnerability of the Service or circumvent security.
- Interfering with the operation of the Service, including by distributing malware, spam, or excessive requests.
- Reverse engineering or attempting to extract source code, except where permitted by law.
Intellectual Property
The Service, including its content, features, and functionality (excluding User Content), is owned by Vibe Village Entertainment, Inc. and its licensors and is protected by copyright, trademark, and other laws. Except as expressly provided, no right, title, or interest is transferred to you.
Third‑Party Links and Services
The Service may contain links to or integrations with third-party websites or services. We do not endorse, control, or assume responsibility for any third-party sites, services, or content. Your use of third-party services is at your own risk and subject to their terms and policies.
Communications
By creating an account, you agree that we may send you transactional communications related to your account and the Service. You may opt out of marketing emails by following the unsubscribe instructions in the emails.
Termination
We may suspend or terminate your access to the Service immediately, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service will cease immediately. Certain provisions will survive termination, including User Content licenses (to the extent necessary for ongoing operation of the Service), disclaimers, indemnities, and limitations of liability.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBE VILLAGE ENTERTAINMENT, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID TO US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to defend, indemnify, and hold harmless Vibe Village Entertainment, Inc. and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.
Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You and Vibe Village agree to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, and waive any objection to jurisdiction and venue in such courts.
Severability; Waiver
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.
Entire Agreement
These Terms constitute the entire agreement between you and Vibe Village regarding the Service and supersede any prior or contemporaneous agreements on the subject matter. In the event of a conflict between these Terms and any other policy or agreement referenced here, these Terms will control to the extent of the conflict.
